Constitution / Bylaws
Article I: Name:
The name of this organization shall be; Vermont Girls Ice Hockey Coaches Association (VGIHCA)
Article II: Purpose:
The purpose of this organization shall be to promote the growth and welfare of high school girls and their participation in the sport of ice hockey.
Article III: Membership:
Any member who is currently
coaching as a Head coach or Assistant coach at the high school level in the
state of
Membership must be completed by December 1 of each year.
Voting Rights:
Each school with a participating member of the VGIHCA shall be entitled to one vote on all matters
submitted to the membership.
Article IV: Meetings:
The membership will gather each fall during the two week period between the fall and winter seasons
for the purpose of electing Executive Council members, identifying potential senior rotary nominations,
and for the transaction of such other business as may come before the meeting.
The membership will gather before the end of the ice hockey season (about 2/3 of the way) to determine all star recognition (Rotary & association) for league participants and for the transaction of such other business as may come before the meeting.
The membership will gather after the season (VT AD conference) for the purpose of evaluating the previous season, to discuss the Make-A-Wish team selections with a MAW representative and for the transaction of such other business as may come before the meeting.
The Executive Council may also call special meetings.
Warnings:
The Executive Council must warn the meeting two weeks prior to all members indicating the location and time of meeting via email or postal mail.
Location:
The location of the meetings shall be held in a central location to accommodate all members of the VGIHCA.
Proxies:
At any meeting of the members, a member entitled to vote may vote by proxy executed in writing by the member or by his duly authorized attorney-in-fact. No proxy shall be valid after eleven months from the date of its execution.
Quorum:
The members present shall represent
a quorum for the transaction of business of the VGIHCA.
Article VI: Dues:
Dues will be $20.00 per year.
Article VII: Executive Council:
The Executive Council shall be elected by the Girls Hockey coaches who are members of this association and will consist of; President, Vice President, Secretary, and Treasurer. Elections will take place at the fall general membership meeting.
All council members shall be elected by a majority vote of those active members present at the annual business meeting. When more than one candidate is nominated for office, the vote shall be by ballot. Nominations shall be submitted by the Executive Council and from the membership.
Officers shall be elected as follows:
President: This shall be a two year term. First term shall only be one year.
· Organize and preside over meetings of VGIHCA
· Supervision of agenda with Vice President and Secretary
· Revise constitution
Vice President: Two year term preceding the Presidency
· Assist President in any assignments
· Preside over meetings in absence of President
·
Advisor to the
Secretary: Three Year Term
· Maintain minutes, other records, and accounts of VGIHCA
· Routine correspondence with members
Treasurer: Three Year Term
· Maintain financial accounts and records of VGIHCA.
Past President: Two year term. Must have served as President.
· Assist the Executive Council in all matters as needed. Will only vote on executive matters in the case of a tie among other Executive Council members.
Article VIII: Amendments and Resolutions:
Amendment Procedures: Articles of the constitution may be amended by a majority of votes cast. All VGIHCA members are eligible to vote.
